Congleton Golf Club
Established 1898

GENERAL
1.The name of the Club is Congleton Golf Club and the Club is a Members’ Club
2.The objects of the Club are to manage a golf course and Clubhouse for its' Members and to provide for the supply to them of refreshments and all things incidental to the playing of golf.
  
3. PROPERTY
3.1The share issue of the Club shall be vested in Trustees and shall be dealt with by them as the Management Committee shall from time to time direct by resolution, of which an entry in the Management Minute Book shall be conclusive evidence, except for the Dissolution of the Club, which is detailed in Rule.3.2. The Trustees will not exceed four or less than two in number and shall be appointed by the Management Committee. A Trustee must be a Full or Life Member of the Club throughout his trusteeship. They shall continue in Office until death or resignation or until any event in consequence of which a Trustee may, by statute, be replaced. The Trustees shall be indemnified against risk and expense out of the Club property.                                                                                                                             
  
3.2If at an Extraordinary Meeting (of which not less than four weeks’ written notice has been given to each member) and at which not less than one-half of the Members eligible to vote, do so, a Resolution for the Dissolution of the Club is passed by a majority of two-thirds of the Members voting, the Committee must immediately, or at such future date as is specified in the Resolution, proceed to realize the property of the Club. The Trustees have full control of these proceeds and will decide on behalf of the Members how to utilise the proceeds of any realization, as defined under the Trustee Act.                              
  
3.3No major course or clubhouse alteration shall be committed to without first being passed by a General Meeting. The Management Committee will decide what constitutes a major alteration.                            
  
3.4All land and Clubhouse shall be vested in the name of the Congleton Golf Club Ltd which is a company limited by share issue.
  
3.5The Club shall not make a distribution of any surplus save to another non-profit making body or in part or in whole to the members on dissolution of the Club in accordance with Rule 3.2.                                                                                                                                                                                                                                                                                                                                                                                                                                                                                                                                                                                                                  
  
4. MEMBERSHIP (Categories & Establishment)
4.1The membership of the Club shall consist exclusively of the following categories of Members:                                                                 
 
4.1.1  Gentlemen Members – Full & LifeAny such member may:a. be entitled to vote at all General Meetingsb. be an Officer or Member of any Committee or Sub-Committee of the Club.c. propose or second a Member for a Committee or Sub-Committee at a General Meeting, subject to Rule.13.1.                                                                                                                                                    d. use the golf course and the facilities of the Clubhouse at any time they are respectively open and play in Gentlemen's and Mixed Club Competitions. e. introduce visitors to use the golf course when open.                                                                               
 
4.1.2  Lady Members – Full & LifeAny such Member may:a. be entitled to vote at all General Meetingsb. be an Officer or Member of any Committee or Sub-Committee of the Club.c. propose or second a Member for a Committee or Sub-Committee at a General Meeting, subject to     Rule.13.1d. use the golf course and the facilities of the Clubhouse at any time they are respectively open and play Ladies and Mixed Club Competitions.e. introduce visitors to use the golf course when open.Any such member may not:-be eligible for election, or vote, at General Meetings for the election of the following Officers: Men’s Competition Secretary, Men’s Match Secretaries and Men’s Handicap Secretary.   
 
4.1.3  Student MembersAny such Member shall be elected at the discretion of the Management Committee from persons aged eighteen years or over who are full-time students at any establishments of Further Education and may:a. use the golf course if open on any day of the week and play in Club Competitions.b. introduce visitors to use the golf course at any time he is entitled to use it.c. on ceasing to be a full-time student, apply to the Hon. Secretary for any other category of Membership without need for introduction under Rule 5.    d. be entitled to vote at all General Meetings e. be an Officer or Member of any Committee or Sub-Committee of the Club.
 
4.1.4 Junior MembersAny such Member shall be elected at the discretion of the Management Committee and be aged under 18 years at 1st October and may:a. introduce visitors to use the golf course at any time they are entitled to use it.b. may attend and speak at all General Meetings but shall not be entitled to vote and shall not be eligible for election in any capacity as officials of the Club.c. upon reaching the age of eighteen years, apply to the Hon. Secretary for any other category of Membership without need for introduction under Rule 5.                                                                                                                                                                                                                                                                                                                        
 
4.1.5  Social Members  -Standard, Social Waiting, Special & Social SpouseAny such member may:a. use the facilities of the Clubhouse at any time it is open.b. may attend and speak at all General Meetings but shall not be entitled to vote . Social members are eligible for election as officials of the Club.c. the definition of Special status is a member who has been a voting member for 20 years and served as an Official of the Club and  who wishes to cease playing and transfer to social membership. They may apply to Management for consideration to be transferred to this category and pay an annual subscription equal to that of a Social Spoused. the definition of a Social Spouse is a member who is married to, living with, formerly married to, or formerly living with, or the  widow or widower of a voting member . The annual subscription level is set by the Management Committee.                                                                                                                                                                                                                                                                                                                                                                        
 
4.1.6 Country MembersAny such members must reside beyond a radius of 50 miles from Congleton and have no business or private address within the said radius and may:a. use the golf course and the facilities of the Clubhouse at any time they are open.b. introduce visitors to use the golf and facilities when open.c. be entitled to vote at all General Meetings
 
4.1.7 Special MembersAny such member be a category one golfer moving into the area or a past full member returning to the area having been domiciled beyond a radius of 50 miles from Congleton. All such memberships to be awarded at the discretion of the Management Committee. Special Members shall declare Congleton to be their home club. Any such Member may:a. be entitled to vote at all General Meetingsb. be an Officer or Member of any Committee or Sub-Committee of the Club.c. propose or second a Member for a Committee or Sub-Committee at a General Meeting, subject to Rule.13.1.d. use the golf course and the facilities of the Clubhouse at any time they are respectively open and play in Club Competitions.e. introduce visitors to use the golf course when open.
 
4.1.8  Temporary MembersAny such Member must be a member of a recognised Golf Club/Golf Society or Waiting List Member and have entered their name and golf club if applicable in the Temporary Members Book.a. Temporary Members may use the golf course and the facilities of the Clubhouse for such periods and upon such terms as the Management Committee will determine on an individual basis. 
 
4.1.9Membership Establishment FiguresThe maximum establishment figures allowed by membership categories shall be as follows:a. Adult Full Playing Member                   335(Priority to be given for up to 90 positions for Lady- Full Playing Members)                                                                b. Life Members – no restrictionsc. Junior/ Student Members                       45                                                                                            d. Social Members                                     120e. Country Members – no restrictionsf. Special Members                                     5g. Temporary Members – no restrictions    h. 5. MEMBERSHIP
5.1Subject to Rules 4.1.3.(c) and 4.1.4.(g) each candidate for membership (other than Life Membership or Temporary Membership) must be proposed by one and seconded by another Voting Member of two years’ standing to both of whom such candidate must be personally known.  Such proposal shall be in such written form and contain such particulars as the Management Committee shall determine and be signed by the Proposer and Seconder.  Such candidate's name and occupation and the names of his Proposer and Seconder shall be posted in the Clubhouse for at least fourteen days before election. All candidates to be interviewed by the appropriate committee and the recommendation of that committee put before Management Committee at the time of election, as detailed in Rule 5.2..  Any omission from or inaccuracy in the particulars relating to or the description of any such candidate shall render his subsequent election invalid at the discretion of the Management Committee.  His Proposer and Seconder will be responsible for his conduct during his first twelve months' membership.
  
5.2Election to membership (other than Life Membership or Temporary Membership) shall be by ballot of the Management Committee and shall take place at such times as the Management Committee shall think fit.  On due election notice of election shall be sent to such candidate together with a copy of the Members Handbook containing the clubs Bye-Laws and that the club rules can be accessed via the clubs website and a request to transmit to the Secretary the Entrance Fee, Golf Union subscription, Insurance premium, Bar Credit Fee, if applicable, plus the first Subscription. If this first demand is not paid within twenty one days of the date of such request, the Management Committee may deem void the election of such candidate as a Member unless he shall satisfy the Management Committee that the delay in payment was due to absence from Great Britain or to some other sufficient cause.
  
5.3There shall be Entrance Fees and Bar Credits of such amounts as the Management may from time to time determine and Annual Subscriptions of such amounts as the General Meeting may determine.
  
5.4Annual Subscriptions shall be payable in advance on the first day of March in each year.  A Notice showing the subscriptions payable shall be kept posted in the Secretary's office and communicated to members in writing. Members elected after 1st. September shall pay the full Entrance Fee and pro rata for the remaining months  of the annual subscription applying at that time.                                                                                                             
  
5.5Full members who have reached pensionable age and who have been voting members for 20 years, and have transferred to Social Membership, may be permitted to play a few holes on the course on Mondays and Fridays only, free of charge. This privilege has to be applied for and approved by the Management Committee at the beginning of each golf year.                                                                     
  
5.6Social Members may take lessons from the Professional, but otherwise shall not play the course, unless granted written permission under Rule 5.6., or, are members of another golf club, golf union or golf society and pay the appropriate green fee. Subject to the restrictions in Rule.14.2.                                                                
  
5.7The Management Committee shall have power to waive the payment of an Entrance Fee in the case of a re-joining member who has previously paid such a fee. If in the view of the Management Committee there are insufficient members subscriptions to cover the cost of running the club, the collection of entrance fees maybe suspended until such time as there are sufficient members enrolled.  
  
5.8The Management Committee shall be responsible for making recommendations for the award of Life Membership. Any such recommendation shall be submitted to the next General Meeting for approval. Members may recommend to the Management Committee names for consideration for such awards. Any such Member shall not be liable for any subscription.                                                                               
  
5.9Officers of the Club who get as a free gift their annual subscriptions paid in recognition of their daily work undertaken to run the club are: The Men’s Captain, The Lady Captain, Honorary Secretary, Honorary Treasurer, Assistant Secretary..
  
6.0 MEMBERSHIP (Termination)
6.1Any Member may resign membership by giving to the Secretary notice in writing to that effect provided that any Member giving such notice after 28th/29th February in any year shall be liable to pay his subscription for the year commencing 1st March in that year.                                                    
  
6.2Members whose subscriptions and bar credit are unpaid by 14th March shall, unless under special circumstances approved by the Management Committee, cease to be members of the Club. Members whose subscription is not paid shall not play the course or attend any meetings.
  
6.3If any Member shall be convicted of any indictable offence such Member shall immediately cease to be a Member, without prejudice to any liability for subscription for the year then current, but the Management Committee shall have power in their discretion to re-admit  such Member without Entrance Fee.
  
6.4The Club shall have the power, at an Extraordinary General Meeting called for that purpose by the Management Committee, to expel any member who in the opinion of at least two thirds of those present has forfeited his or her right to membership. The termination of membership to be immediate and a member so expelled shall not be introduced as a visitor, without special permission of the Management Committee.
  
6.5The Management Committee shall have the power to suspend a member for a period not exceeding twelve months.  Before taking this action the Member must be given the right to a hearing before the Management Committee and if they wish be accompanied or represented. The Management Committee shall have the power to delegate the hearing to the Disciplinary Sub-Committee .At the end of a period of suspension the Management Committee have the power to proceed under Rule.6.4.
  
6.6That the family/partner of any golfing member who dies in any subscription year is entitled to a refund of fees paid on a pro-rata basis from the date of his/her death.
  
7. GENERAL MEETINGS
7.1An Annual General Meeting of the Club shall be held in the month of January each year, or as soon afterwards as possible. Its business shall be:a. To receive from the Chairman of the Club a report on the general condition and progress of the Club during the preceding year.b. To receive and, if approved, adopt a Report on the reviewed/audited accounts of the Club.c. To approve Annual Subscription rates for the current fiscal yeard. To elect the Officers and members to serve on the Committeese. To transact any business relating to the affairs of the Club of which due notice has been given in accordance with these Rules.f. The club’s accounts be reviewed/audited on a three year cycle. For year 1 and year 2 the AGM appoint two reviewers, whose brief is to review the club’s finances over the year and report their findings to the AGM. The reviewers appointed be voting members and not members of the management committee for the year under review. For year 3 the AGM appoint a professional external auditor to report on the audited accounts of the club.
  
7.2.1The Management Committee may at any time for any  special purpose call a Extraordinary General Meeting and shall do so forthwith upon  the requisition in writing of not less than thirty Voting Members stating the purpose for which such meeting is required.
  
7.2.2Notwithstanding the powers given to the Management Committee in these Rules, directions may be given to the Management Committee, by a resolution passed at any General Meeting. Any such resolution shall be effective immediately.
  
7.3Notice of any Annual General Meeting shall be posted in the Clubhouse not less than 42 days beforehand.  Any Voting Member desirous of moving any resolution at such Meeting shall give notice of such resolution in writing to the Secretary at least 28 days before the proposed date of such Meeting.  Notice of any Annual General Meeting or Extraordinary General Meeting and of the business to be transacted there at shall be sent to every Voting Member so registered, not less than 14 days before the proposed date of such Meeting and no other business shall be admitted at such  meeting. Copies of the accounts of the Club for the year. ended during the year immediately preceding any Annual General Meeting shall be freely available at the clubhouse (or by post, or e-mail on request) for 14 days prior to such meeting and at the meeting itself.
  
7.4An amendment to a resolution (other than a motion for adjournment) is deemed to be acceptable if it meets one of the following criteria: has been sent to the Secretary at least 7 days before the proposed Meeting and been forthwith posted up in the Clubhouse, or, is considered pertinent to the resolution it seeks to amend; with the Chairman of the Meeting to act as sole arbiter.
  
7.5At any General Meeting the Chairman of the Management Committee or, failing him, another Member of the Management Committee selected by the Management Committee for the purpose, shall be Chairman of such Meeting and his decision as to the result of the voting on any question shall be final.  Each voting Member shall be entitled to one vote on each motion. The voting for all resolutions shall be by secret written ballot.Written postal votes for resolutions at General Meetings are deemed to be acceptable if they are as per the following criteria: any voting member wishing to cast a postal vote should apply to the Honorary Secretary for a voting paper and envelope marked for returning votes. The deadline for the return of postal votes is the day prior to the General Meeting. All postal voting papers to remain unopened until the day of the General Meeting. All postal voting papers to be opened, validated and counted by a sub committee consisting of: The Chairman, the President, the Men’s Captain and the Lady Captain.  Three of these officials form a quorum. The resulting postal votes to be consolidated with the votes of voting members attending the General Meeting.  The resolution shall be carried by a majority of more than two-thirds of the voting thereon. A quorum at a General Meeting shall be forty. The administration of all postal votes is as per the procedure included in the Bye Laws.
  
7.6Any resolution put to a General meeting concerning relocation of the Club and the Club’s assets must be subject to a postal vote of voting members immediately following the General Meeting at which it is an agenda item for debate. Not less than one-half of the Members eligible to vote, must vote, and the resolution shall be carried by a majority of more than two-thirds of the voting thereon. The deadline for receipt of the postal vote to be 21 days from date of postage. All returned voting papers to remain unopened until the day after the deadline. All voting papers to be opened, validated and counted by a sub committee consisting of: The Chairman, the President, the Men’s Captain and the Lady Captain. Three of these officials form a quorum. The result of the postal vote to be posted in the Clubhouse immediately. The administration of all postal votes is as per the procedure included in the Bye Laws.                                                                                                                          
  
7.7Rescission of preceding resolution – no motion to rescind any resolution passed within the preceding six months, and no motion or amendment to the same effect as one which has been rejected within the preceding six months, shall be proposed to a General Meeting.
  
8.0 THE MANAGEMENT COMMITTEE (Composition and Election)
8.1The Management Committee shall be the General Committee of the Club and shall consist of the following persons, all of whom must be voting members:Chairman of the Club, Men’s  Captain, President, Lady Captain, Men’s Captain Elect, Lady Captain Elect, Honorary Secretary, Honorary Treasurer, Greens Chairman, House & Bar Chairman, Men’s Competition Secretary, Ladies Competition Secretary and Entertainments Chairman.
  
8.2Officers for the Management Committee shall be elected for a three year term at the Annual General Meeting of members as per the procedure included in the Byelaws; except for the following who will hold office for one-year: Men’s Captain, President, Lady Captain, Men’s Captain Elect, Lady Captain Elect and Entertainments Chairman.
  
8.3Seven members shall form a Quorum.  
  
9.0 COMMITTEES
 The following Committees shall be elected at the Annual General Meeting, with the exception of the Disciplinary and Ladies Committees, and the Committees will be chaired by the appropriate Chairman or Officer .A Chairman of a committee (except the Disciplinary Committee and the Bar Committee) has the right to co-opt members as necessary. The Men’s Captain shall be an ex officio member of all committees.                                                           
  
9.1House Committee shall consist of two voting members and the Lady Captain.
  
9.2  Bar Committee which has the responsibility for the purchase and sale/supply of intoxicants shall consist of two members and be chaired by House Chairman.
9.3  Greens Committee shall consist of four voting members including one voting member nominated by the Ladies Committee. The Head Greenkeeper may be a co-opted member.
  
9.4  Entertainments Committee shall consist of five members and the Lady Captain.
  
9.5  Men’s Golf Committee shall consist of three voting members, Men’s Match Secretaries, Men’s Handicap Secretary, Junior Chairman and be chaired by the Men’s Competition Secretary.
 
9.6  Disciplinary Committee shall consist of the Chairman of the Club, Men’s Captain, President, Lady Captain and Immediate Past Men’s Captain. Three members shall form a Quorum.
 
9.7  Junior Committee shall consist of two voting members.
 
9.8  Ladies Committee shall consist of all Ladies Officials plus voting Lady members to a total of twelve.
 
10. CASUAL VACANCIES
10.1Any casual vacancy amongst the officers of the Club or amongst the Members of the Management Committee shall be filled by election by the Management Committee.  Any casual vacancy amongst the Members of the Committees, except the Disciplinary Committee, shall be filled respectively by the Committee Chairman and any Officer or Voting Member filling such casual vacancy shall hold office until the close of business of the next Annual General Meeting of members.
  
11. THE MANAGEMENT COMMITTEE (Procedure)
11.1The Chairman of the Club shall be the Chairman of the Management Committee.
  
11.2Management Committee meetings shall be held monthly except in such cases as the Chairman deems it impracticable. The Chairman shall have the right to convene such other meetings as he may deem necessary. Seven days notice of meetings shall be given to each member of the Committee, emergencies excepted.
  
11.3.1In addition to the Committees elected by Members in accordance with Rule 7.1, the Management Committee may appoint such other Sub-Committees as they may deem necessary or expedient and will lay down the powers, duties and responsibilities of all the Club Committees and Sub-Committees who must report periodically their proceedings to the Management Committee.  These Club Committees and Sub-Committees will be responsible to the Management Committee for the efficient control of their business in accordance with the directions of the Management Committee.
  
11.3.2Voting members, up to a maximum of four, shall be entitled to attend Management Committee meetings but with no right to participate. This is subject to having entered their names on the list displayed in the Clubhouse. No voting member may attend more than two meetings per year and those shall not be in succession.
  
12. THE MANAGEMENT COMMITTEE (Powers)
12.1The Management Committee shall be responsible for the management of the Club in accordance with these Rules and shall have power to engage, control and dismiss the Club's servants and shall have all other administrative powers as may be necessary properly to carry out the objects of the Club.
  
12.2Such powers of management and administration shall include the following powers:- Any liability incurred by authority of the Management Committee in carrying on the business of the Club shall be made good by the Club and the Members of the Management Committee shall be fully indemnified by Voting Members of the Club in respect of any such liability.
  
12.3The Management Committee may make or alter Bye-Laws and Green Fees as they shall from time to time think necessary for the internal management and well-being of the Club.  Such Bye-Laws shall not be binding in so far as they may be inconsistent with these Rules but otherwise shall be binding upon all Members.
  
13. OFFICERS
13.1Nominations for the election of Officers and Members of  Committees shall be written on the nomination sheet which will be posted in the Clubhouse during the month of December in every year. Each nominee shall be proposed and seconded by two voting members of the Club who have been voting members for at least 2 years and no candidate shall be proposed without consent. A minimum of three spaces must be allowed on the nomination sheet for each individual office in the Club. All nominations shall close one week before the Annual General Meeting.
  
13.2In addition to members of the Management Committee the following Officers, all of whom shall be voting members, will be elected at the Annual General Meeting and all newly elected Officers shall hold office from the close of such Annual General Meeting until the close of the next succeeding Annual General Meeting when they shall retire: Assistant Secretary, Men’s Handicap Secretary, Men’s Match Secretary (League), Men’s Match Secretary (Other) and  Junior Chairman.
  
14. FACILITIES
14.1The golf course and greens shall be open from dawn to dusk every day except when declared closed by the Greenkeeper / Greens Committee.  Golfers must give way to members of the green keeping staff at all times.  The Clubhouse shall be open from 8.30 am to 11.00pm on every day except on Mondays in winter, during the period when Greenwich Mean Time is in operation and on Christmas Day.
  
14.2Golfers who are members of a recognized Golf Club, Golf Union or Golf Society and visitors/guests who are competent by the professional staff and / or there accompanying member are allowed to play the course upon payment of the appropriate green fee and after completing in full an entry in the Visitors Book. Such golfers shall be entitled to play the course on not more than six occasions in any calendar year upon payment of a full green fee and, on not more than twelve occasions in any calendar year as guests of members (as defined in Rule 4) upon payment of the appropriate green fee.
  
14.3The permitted hours for the supply of intoxicating liquor shall be the responsibility of the House and Bar Committee in compliance with the club’s drinks licence.
  
14.4The charges to be made for meals and refreshments and intoxicating liquors and tobacco shall be such as shall be determined by the Management Committee. Every Member shall pay any such charges as have been incurred whether on his own account or for his visitor before leaving the Clubhouse on the day the same have been incurred.
  
14.5Subject  to any restrictions which from time to time may be imposed by the Management Committee, non-members may be admitted to the Clubhouse and may purchase  intoxicating liquor for consumption on the premises namely:a. Golfers on payment of the appropriate green fee.b. Persons taking table meals in the Clubhouse.c. Persons attending functions in the Clubhouse in whatever capacityd. Club employees.e. Visiting team members           
  
14.6Use of the Clubhouse for private functions:a. On not more than 12 occasions in any one year and with the approval of the Hon. Secretary (acting on behalf of the Management Committee), members (including social members ) may have the use of the Clubhouse facilities for the purpose of a private function involving licensable activities. The member concerned, if the hours of such a function is to exceed the hours in Rule 14.3 and/or to include persons attending who are not club members or invited bona fide guests of members shall be required to give a Temporary Event Notice to the Local Licensing Authority. The member so organising such functions must also be present at the function and must submit to the committee a list of names and addresses of any guests (who are not members) who are expected to attend the function and lists must be kept on the Club premises. Intoxicating liquors may, subject to the provisions of these rules and the provisions of the Licensing Act 2003 in relation to Temporary Event, be sold or supplied to such visitors in accordance with the Club Rules.                                                                                                                b. Additionally, a copy of the Temporary Events  Notice must be given not less than 10 days before the event to The Chief Superintendent of Police, Police Headquarters, Civic Centre, Crewe, providing full details of any function falling within the provisions of this rule stating the particulars of the proposed function, the name and address of the organiser and for the avoidance of doubt this Notice must be served whether or not the proposed hours exceed the permitted hours as set out in Rule 14.3. 
  
15. MISCELLANEOUS
15.1No member shall give the address of the Club in any advertisement or use the Club address for business purposes.
  
15.2Every Member shall communicate to the Secretary his address or that of his Banker or Agent from time to time and any notice posted to such communicated address shall be deemed duly given on the day next following the day of posting.                                                                                                             
  
15.3A Suggestion Book shall be available for suggestions by Members. Each entry will be considered by the Management Committee at their next monthly meeting following the entry and a response in writing given.                                                                                                                                                          
  
15.4All complaints concerning members of Staff should be made in writing to the Honorary Secretary for consideration by the Management Committee. The Management Committee shall have the power to reprimand a member of Staff. No individual member may directly reprimand a member of Staff.
  
16. INTERPRETATION
16.1The rules of golf as they may from time to time be fixed by the Royal and Ancient Golf Club of St. Andrews shall, as far as applicable and with such Special Additions as may be made by the Management Committee, be the rules of golf of the Club.                                                                                          
  
16.2In these Rules and in any Bye-Laws made under Rule 12.3 words importing the singular number only and the masculine gender only shall respectively include the plural number and the feminine gender and vice versa unless inconsistent with the context.
  
16.3The Management Committee shall be the sole authority for interpreting these Rules and for settling all disputes relating to the affairs of the Club and to the conduct of Members in relation to the Club.
  
16.4These Rules or any of them may be added to, repealed, or amended by resolution at any Annual or Extraordinary General Meeting provided that such resolution be carried by a majority of more than two-thirds of the Voting Members voting thereon.
